Introduction

Welcome to Cryptic Activist, and thank you for your interest in accessing our system. We are Cryptic Activist and we offer a P2P platform dedicated to intermediating the purchase and sale of cryptocurrencies using fiat currency. These are the Terms of Use that govern the use of services and products available to you on our platform. These Terms of Use regulate access to and use of the Cryptic Activist platform, available at https://crypticactivist.com and its applications, hereinafter referred to simply as the “PLATFORM”. When using a P2P cryptocurrency platform, users can buy, sell, and exchange cryptocurrencies directly with other users, without the need for a brokerage or other intermediary. Transactions are carried out directly between the two parties, and the P2P platform acts only as a facilitator.

By accessing, registering, or using the platform, the user declares that they have read, understood, and fully agree with these Terms and the Privacy Policy.

1. Acceptance of Our Services

Cryptic Activist will make its services available only upon your full acceptance of these terms. By accessing, installing, or using the platform, you declare that you agree to all the conditions set forth herein and authorize the use of your information as described in the Privacy Policy. You are solely responsible for any chargebacks, complaints, fees, fines, penalties, costs, or other liabilities attributed to Cryptic Activist, its partners, affiliates, or third parties resulting from violations of these terms, improper use of the services, or any conduct that causes damage related to the use of the platform.

2. Your Main Rights and Obligations

Among your rights, through Cryptic Activist, trade virtual assets on your behalf, according to the conditions defined by you, monitor the progress and notification of your transactions and send and collect virtual assets directly through the application. In the same sense, you undertake to keep your registration data up to date, use virtual asset services as provided for in this term, previously evaluate the movements of your assets involved, carefully check your balances, transactions and transactions, as well as other charges inherent to the nature of the negotiations. You also declare the veracity of the information provided, the responsibility for the adequate origin of the funds, the safekeeping of your access credentials and the fairness of all activities carried out within the platform. You have sole responsibility for all tax obligations arising from any virtual asset transaction. Cryptic Activist will not, under any circumstances, be responsible for any losses or damages if you fail to pay any taxes levied on the transfer or collection of virtual assets. If Cryptic Activist is required to pay any tax for which it is responsible, Cryptic Activist must be reimbursed for that amount. The user may not reverse engineer the system or interfere with the technical functioning of the platform.

3. Platform Object

Cryptic Activist is a P2P intermediation platform that connects users interested in buying and selling cryptocurrencies, allowing direct negotiation between the parties. The platform is responsible for providing the technological environment and enabling communication between the parties and does not provide payment services or fund transfers to facilitate the acquisition of virtual assets. It is a condition for carrying out transactions involving virtual assets executed by the platform that you are a natural person of legal age according to local legislation. Cryptic Activist does not hold possession of the acquired virtual assets, and ownership remains exclusively yours. Virtual assets available for trading may be viewed through the platform's application. The total balance you have announced in virtual assets will be considered as available value for transfers. Before publishing a buy, sell, or exchange order, ensure that you have sufficient balance to cover the offer you intend to make. Cryptic Activist does not own or control the blockchain protocols or networks associated with the assets available for intermediation, with the user retaining exclusive ownership of the assets. Therefore, the platform does not manipulate prices, does not guarantee liquidity, does not participate in negotiations, is not a financial institution, and the legal relationship occurs directly between users.

4. Transactions

Operational costs, fees, or taxes related to transfers may be debited from your virtual assets, as applicable. Cryptic Activist will notify you when the receipt of virtual assets is confirmed. The platform may, at any time, suspend its services for repairs, maintenance, or improvements. Virtual asset operations provided by Cryptic Activist may be subject to fees for execution. Such fees will be disclosed in advance.

5. Remuneration

The remuneration charged by Cryptic Activist for crypto-asset intermediation services will be informed on the platform. Cryptic Activist reserves the right to modify, increase, eliminate existing commissions, or implement promotional conditions at any time, whether permanently or temporarily. Access to the platform system area is free of charge. However, a commission will be charged for each operation on the platform. The commission percentage will be calculated based on the operation. Cryptic Activist will deduct the commission amount at the time of each operation, with no refunds, chargebacks, or reversibility of the amounts paid for service intermediation.

6. User Registration and Account

You declare that you are a natural person over 18 years of age, are aware that any losses suffered as a result of your operations are your responsibility, are responsible for operations transmitted to Cryptic Activist, and ensure that you understand the risks of operations before performing them. You assume responsibility for the accuracy of the data and information provided. To use the platform, the user must create an account by providing personal data, identification documents, and any other information required for KYC (Know Your Customer) purposes, and must not engage in money laundering, pyramid schemes, scams, or acts that violate international sanctions.

7. Suspension, Blocking, and Account Termination

The platform may, at any time and without prior notice, suspend or terminate the user's account in the event of suspected registration inconsistencies, financial crimes, operations outside the user's usage pattern, improper use that violates any condition of these terms and/or applicable legislation, suspected fraud, failure to comply with requests for additional documents or information to verify identity or update registration data, or by determination of competent authorities.

8. Limitation of Liability

Cryptic Activist is not responsible for market fluctuations, any financial losses resulting from transactions, actions committed by other platform users, connection failures attributable to the user, losses arising from investment decisions of any kind, or any actions taken by malicious third parties. The platform assumes no responsibility for the operation, access, maintenance, and development of protocols, networks, virtual assets, and cannot guarantee their functionality, security, or availability. Problems with the availability, infallibility, and continuity of Cryptic Activist services, as well as any direct or indirect damages and losses that may arise from the unavailability, interruption, failure, errors, and/or inconsistencies in data transmission, interception, elimination, alteration, modification, or manipulation by unauthorized third parties of transmitted files and communications, as well as those related to the quality or availability of the internet connection and changes in the operation of these services or their partners, acts of God or force majeure, or other events beyond the platform's control, are not the responsibility of Cryptic Activist. Cryptic Activist may refuse to receive or execute transactions, or even cancel any pending orders, and will not assume any responsibility if your registration is out of date. The platform will not be responsible for losses, damages, or lost profits suffered by you, especially those arising from, but not limited to: Price and value variations related to transactions carried out or low market liquidity; Inability to access electronic systems; Negligent or intentional acts committed by third parties; and transactions carried out based on information provided by you. Cryptic Activist will not be liable if it is not possible to complete the transfers due to a lack of virtual assets in your account, or if it is not possible to complete the receipt of virtual assets due to a lack of virtual assets in the sender's account, or if the sender has entered incorrect and/or incomplete data, making it impossible to identify you as the other party receiving the virtual assets. Any content made available by the platform on its channels is for informational purposes only, and such information is not and should not be understood as investment advice or any other form of advice different from that provided for in these terms. You release Cryptic Activist from any liability arising from transactions not completed due to suspected financial crimes or transactions carried out by third parties using your PIN, passwords or similar information. You agree and consent that the platform will be exempt from liability for any incompatible asset. The platform is exempt from any user error, such as incorrect wallet address, switched network, incorrect sending, unsupported tokens, irreversible on-chain transactions and variable network fees.

9. Security and Fraud Prevention

The platform uses risk analysis systems and artificial intelligence for better performance and security in transactions. You must keep your cell phone, computer, or any system used to access the platform in a safe place with access restriction mechanisms. It is your responsibility to protect your passwords and PINs for accessing the platform, never disclosing them or allowing their use by third parties. You release Cryptic Activist from any liability for any unauthorized access to your email account, application, and/or phone number. Transactions with your account and the execution of operations may be subject to authentication mechanisms, such as requesting the completion of a PIN code, approval of access on new devices, among others.

10. Processing of Personal Data

This term applies to all clients, both active and inactive. Cryptic Activist collects your personal data whenever you use the platform's application, request any of our services, or contact us through our customer service channels. In addition to our clients' data, we will also collect personal data from anyone who has been our client, conducted a transaction with us or any of our clients, or who has been or is a representative, attorney, guardian, curator, employee, or partner of any client, company, or entity with which we have a relationship. Cryptic Activist will never process any data under any unjustified or illegitimate pretext. We may use artificial intelligence tools to process personal data to personalize and improve the offering of services and for other purposes, always in accordance with legal and regulatory obligations and the commitments made in this agreement. We may collect registration data such as full name, identification documents, nationality, address, date of birth, parentage, gender, contact information such as telephone and email, and profession. The purpose of using this data is to improve our products and services, for marketing, prospecting, market and opinion research, periodic reassessments of eligibility to become a client, prevention and resolution of technical or security problems, investigations and measures to prevent and combat illegal activities, fraud, financial crimes, and to guarantee the security of Cryptic Activist's clients. The platform may also access the IP address of the mobile device used, technical data such as URL information, network connection information, provider information, and device information, cookies, device attributes such as ID, operating system, browser, model, and information related to application interaction, data regarding internet consumption, and geolocation data for your security. If you have given your consent to the processing of your personal data, you may request the revocation of this authorization.

11. Intellectual Property

All intellectual property rights related to the Cryptic Activist platform, including but not limited to trademarks, logos, trade names, layouts, design, interface, source code, algorithms, databases, content, text, graphics, images, videos, functionalities, files, and any other technical or visual element that comprises the system, are the exclusive property of Valinor Global Holdings S.A. or third parties who have licensed such rights to it. The reproduction, distribution, modification, reverse engineering, translation, adaptation, creation of derivative works, commercialization, public availability, or any form of unauthorized use of any content protected by copyright or industrial property rights present on the platform is strictly prohibited. Use of the platform does not grant the user any license, assignment, or right to exploit such elements. Any violation of this clause may result in civil and criminal liability, without prejudice to applicable administrative measures, including suspension or termination of the user's account.

12. Deadline and changes to the terms

This agreement will begin on the date of your subscription, will remain in effect indefinitely, and binds the parties, their heirs, and successors. Any changes made for legal reasons or due to new service functionalities will take effect immediately. You declare that you are responsible for consulting this agreement from time to time to verify that you agree with any modifications made. If you do not agree with the changes made, you may immediately request the cancellation of this service. Cryptic Activist may also expand its services and products, or discontinue the provision of a particular product or service, at any time, without prior notice. These terms may be changed at any time. Continued use after changes constitutes tacit acceptance of the new conditions. The services described herein may be canceled by you by communicating this on the platform, which may be done at any time and without the need to specify the reason.

13. General Provisions

You declare that all information provided during registration and at the time of opening and activating your Cryptic Activist account is truthful. The platform may contact you by any means, including telephone, email, SMS, WhatsApp, and mail, to send communications regarding your account and for other purposes. The platform may modify these terms at any time. Cryptic Activist may also expand its services and products, or discontinue the provision of a particular product or service, at any time. Failure to cancel or place orders after notification of the change implies your acceptance of the new terms. The user declares that all information provided during registration and at the time of opening the account is truthful, especially information concerning the countries where the user holds tax residence.

14. Applicable Law and Jurisdiction

You hereby waive the jurisdiction of any other court, however privileged it may be or may become. For the resolution of any disputes related to this agreement, cancellation requests, questions, complaints and suggestions, you may contact us through legal@crypticactivist.com.
